1. Agreement to these terms

By using this website you agree to these terms. If you do not agree with them, please do not use the site. These terms are between you and Ericka DeBruce DBA EDB Consulting LLC ("EDB Consulting", "we", "us").

2. What this site is, and what it is not

Everything here is provided for general information about EDB Consulting and its approach to culture building and culture transformation. It is not consulting advice, legal advice, human resources advice, or a recommendation for any particular decision in your organization.

Reading this site, or contacting us through it, does not create a consulting relationship. That relationship begins only when both parties sign a written engagement agreement.

3. Our content and marks

The text, design, structure, images, and frameworks on this site are owned by EDB Consulting or used with permission, and are protected by copyright and other intellectual property laws.

4. What you may and may not do

You are welcome to read, print, and share these pages for your own non-commercial reference, and to link to any page here. Please do not:

• Republish, sell, or license our content, or present our frameworks as your own
• Deliver training, workshops, or consulting built on our frameworks without a written agreement
• Remove or alter any copyright or trademark notice
• Scrape, mine, or systematically copy the site, including to train machine learning models
• Attempt to disrupt the site or gain access to systems or accounts that are not yours
• Use the site for anything unlawful

5. What you send us

Please do not send confidential or proprietary information through the contact form. Information submitted through this site is not treated as confidential until a signed engagement agreement is in place. By sending us a message you confirm you have the right to share what it contains.

6. Links to other sites

Where we link to another organization's site, we do so because it may be useful. We do not control those sites and are not responsible for their content or their privacy practices.

7. No warranties

This site is provided "as is" and "as available". We work to keep it accurate and running, but we do not warrant that it will be uninterrupted, error free, or that the information on it is complete or current. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

8. Limitation of liability

To the fullest extent permitted by law, EDB Consulting will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of this site, including lost profits or lost business opportunity. Our total liability relating to this site will not exceed one hundred United States dollars. Nothing here limits liability that cannot be limited by law.

Decisions you make in your own organization based on information found here are yours.

9. Indemnity

You agree to indemnify EDB Consulting against claims and costs arising from your misuse of this site or your breach of these terms.

10. Governing law

These terms are governed by the laws of the State of Tennessee, without regard to its conflict of laws rules. Any dispute will be brought in the state or federal courts located in Shelby County, Tennessee.

11. Changes

We may update these terms. The current version is always the one posted here, with its date at the top. Continuing to use the site after a change means you accept the updated terms.
